Terms & Conditions
Introduction
We are the Advanced Manufacturing Research Centre (AMRC), part of the University of Sheffield (referred to as "AMRC", "UoS", "we", "our", "us"). We operate the AMRC partner portal (the "Service") through which we provide you access to a collection of our services (collectively, the "Services" which include the provision and use of the Service).

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and concerning your access to and use of this Service and the Services. You agree that by accessing this Service, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using this service and you must discontinue use immediately.
Licensing and User Registration
Access to this Service is provided solely to named individuals (referred to as "you", "your") who are fully employed by or contracted to an organisation (referred to as "Company") which is engaging in work with the Advanced Manufacturing Research Centre (AMRC), part of the University of Sheffield (referred to as "AMRC", "UoS", "we", "our", "us").
Your access to this Service will only be provided by us to you through the registration of a corporate email address which is personal to you and bears the domain of the Company that you are employed or contracted by. The AMRC will not support the registration of email addresses that are provided through publicly hosted email providers.
There are no licensing requirements needed to access this Service. AMRC will ensure when approved, you will be provided access to the Service for the sole purpose of professional business engagement between AMRC and your Company.
This Service does not offer a facility for self-registration. All new user registration requests must be submitted via your AMRC engagement manager or a suitable representative of AMRC. AMRC will complete necessary due diligence and vetting processes to ensure the security of the Service.
User registration requests may be declined at the discretion of AMRC and notice will be provided via your AMRC engagement manager to the user from your Company making the request.
We will create your user account and associate it with your Company record within our Service. It is not possible for your account to be associated with more than one Company record.
Service Provided by Us
The Service provided by us to you is a web based application hosted on a public web service. You will require an internet connection to access the Service.
The Service requires you to be an authenticated actor to access content. This authentication is provided using our chosen identity provider and so you and your Company must be able to authenticate using our chosen provider.
We will ensure that the Service is secured and well maintained. Where maintenance generates planned or unplanned downtime this will be communicated beforehand where possible in accordance to the Modifications, Corrections and Interruptions clause below.
You will be required to register for MFA (if your Company does not already enforce this) to access this Service.
Acceptable Use
In acceptance of this Agreement, you agree to use the Service provided by us for the sole intended purpose of professional business engagement between AMRC and your Company.
You must ensure that the device used to access the Service is secure, regularly updated and connected to a trusted network.
You must only access the Service when within UK borders otherwise you do not comply with the stated export control conditions below.
You must ensure you log-off from the Service in a timely manner when not in use. User sessions will be terminated after a fixed duration if no activity is detected.
If you believe that you have accessed or can access content, features or portions of the Service not intended for you or your Company, you must immediately contact your AMRC representative and inform us of this.
Prohibited Activities / Restrictions
You must not access this Service if you intend to export any data provided by AMRC:
- Outside of your Company,
- Outside UK borders (except where your Company hold necessary export control licences to do so), or
- For personal gain.
You must not share your user credentials with anyone who may wish to access the Service on your behalf.
You must not attempt to breach the authentication or security measures on the Service or any network connected to it.
You must not use "robot," "spider," or other automatic algorithms to copy, access, or monitor any part of the Service or its contents or to obtain materials, documents or information through means not purposely made available to the Service. AMRC reserves the right to bar such activity.
You must not try to gain unauthorised access to any feature or portion of the Service or any networks or systems connected to the Service or scan, probe, or test the vulnerability of the Service or any network connected to it.
If you believe that you have accessed or can access content or any feature or portion of the Service not intended for you or your Company, you must not attempt to or further access this content, feature or portion. Please see the associated acceptable use clause above.
You may not use this Service or any content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of AMRC or others.
You must not harass, annoy, intimidate, or threaten any of our employees or third parties engaged in providing any portion of this Service to you.
Limitation of Liability (inc. Export Control)
You are subsequently responsible for the security of any data exported from the Service. Where data is saved outside the Service, you must ensure that it is suitably protected and stored on an encrypted device.
AMRC waives responsibility and liability for export control of any data which you access and subsequently make a copy of or make available offline from this Service. You must not sub-export any data accessed from this Service to outside of UK borders unless you and/or your Company have a sufficient export licence to do so, and the export must remain within your Company.
Third Party Service Providers and Websites
We use Third Party service providers to support the development and maintenance of this Service.
All Third Party service providers are contracted under our standard Terms and Conditions of business and where applicable also using Non-Disclosure Agreements to protect specific content, intellectual property rights or other sensitive information they may have access to including your user details.
All Third Party service providers are vetted to ensure they are compliant with all necessary policies and standards to ensure robust security.
This service may contain (or you may be sent via the Services) links to other websites ("Third Party Websites"). Where this is the case, AMRC will always take best endeavours to ensure that any Third Party Website links are provided to you for the sole purpose of working with the AMRC. AMRC will not take responsibility for content provided to you via any Third Party Website. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Use no longer govern.
Modifications, Corrections and Interruptions
We reserve the right to make changes to the Service or Services at any time. This includes but is not limited to appearance/brand, UX/UI, data, content and any media which can be accessed through the Service.
Where possible we will make best endeavours to inform you of any changes to the Service in good time. This does not include where changes are required for emergency reasons.
Where interruptions occur either as a result of AMRC, the hosting service provider or any other circumstances which prevent you from accessing the Service, AMRC will not provide any form of compensation to you or your Company for loss of access.
Warranties and Representations
By using the Services, you represent and warrant that:
- all registration information you provide to AMRC will be true, accurate, current, and complete;
- you will maintain the accuracy of such information and promptly update AMRC with any changes as necessary;
- you have the legal capacity and you agree to comply with these Terms of Use;
- you are not a minor in the jurisdiction in which you reside;
- you will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
- you will not use the Services for any illegal or unauthorised purpose; and
- your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
User Support, Information, Questions & Complaints
AMRC will provide you with reasonable user support at your request which can be discussed with your engagement manager or AMRC representative. This will constitute support for navigating through this Service and any feature or system capabilities where applicable.
Term, Suspension and Termination
These Terms and Conditions shall remain in full force and effect while you use this Service.
Without limiting any other provision of these Terms and Conditions, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of this Service (including blocking certain IP addresses), to any person if we reasonably consider that such person is in breach of these Terms and Conditions, our acceptable use policy, or of any applicable law or regulation, including without limitation breaches of any representation, warranty, or covenant contained in these Terms and Conditions.
We may terminate your use or participation in this Service or delete your account and any content or information that you provided at any time, without warning, in our sole discretion if we consider that you have breached, or are likely to breach, any of the above.
Force Majeure
Neither we nor you shall be in breach of this agreement or otherwise liable for any failure to fulfil our obligations if such failure results from events, circumstances or causes beyond our reasonable control.
Governing Law
These Terms and Conditions and your use of this Service are governed by and construed in accordance with the laws of the United Kingdom of Great Britain applicable to agreements made and to be entirely performed within the United Kingdom of Great Britain, without regard to its conflict of law principles.
Miscellaneous
We reserve the right, but not the obligation, to:
- monitor the Services for violations of these Terms and Conditions;
- take appropriate action against anyone who, in our sole discretion, violates the law or these Terms and Conditions;
- in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your contributions or any portion thereof;
- in our sole discretion and without limitation, notice, or liability, remove from the Service or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and
- otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Service.
The services are provided on an "as-is" and "as-available" basis. You agree that your use of this Service will be at your sole risk.
We make no warranties or representations about the accuracy or completeness of the Service, the content or any third-party content and we will assume no liability or responsibility for any:
- errors, mistakes, or inaccuracies of content and materials;
- personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Service;
- unauthorised access to or use of our secure servers and/or any personal information and/or financial information stored therein;
- interruption or cessation of transmission to or from the Service;
- bugs, viruses, trojan horses, or the like which may be transmitted to or through the Service by any third party; and/or
- errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Service.
Privacy Policy
We care about data privacy and security. Please review our Privacy Notice to understand our use of your personal information. You acknowledge that you have reviewed and understand our Privacy Notice.
Please be advised this Service is hosted in the United Kingdom of Great Britain. We will not permit direct access to this Service to users based outside of the United Kingdom of Great Britain. This is to protect our liability for export control.
We will maintain certain data that you transmit to the Service for the purpose of managing the performance of the Service, as well as data relating to your use of this Service. You agree that we shall have no liability to you for any loss or corruption of any such data.
Changes to Terms
We reserve the right to change or modify these Terms at any time to better reflect:
- changes in the law;
- new regulatory requirements; or
- improvements or enhancements made to the Service.
If an update affects your use of the Service or your legal rights as a user of the Service, we will notify you prior to the effective date by sending an email to the address associated with your account or via an in-Service notification. Updates to these Terms will be effective no less than 30 days from when we notify you.
If you do not agree to the updated Terms, you reserve the right to request your account is suspended from the Service and access terminated before the effective change date. AMRC will not provide any form of compensation to you or your Company for loss of access.
By continuing to use or access the Service after the effective date, you agree to be bound by the revised Terms.
Acceptance of Terms
This Service is provided to you by the Advanced Manufacturing Research Centre (AMRC), part of the University of Sheffield (referred to as "AMRC", "UoS", "we", "our", "us"). Review these terms of service ("Agreement") thoroughly. This Agreement is a legal agreement between you and AMRC. By accepting these Terms electronically and accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, then you may not use the Service.
